Terms of Use

1. Acceptance of These Terms

By accessing or using Cipher & Spirit, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the App.

2. Eligibility & Legal Drinking Age

Cipher & Spirit provides recipes and information about alcoholic beverages and is intended solely for adults of legal drinking age.

• You must be of legal drinking age in your jurisdiction (at least 21 years old in the United States) to use the App.
• You must be old enough to form a binding contract in your jurisdiction.

By using the App, you represent and warrant that you meet these requirements.

3. License to Use the App

Subject to these Terms, From Meadows grants you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the App on devices you own or control, for your own personal, non-commercial use.

You may not:

• Copy, modify, or create derivative works of the App.
• Reverse engineer, decompile, or attempt to extract the source code, except where this restriction is prohibited by law.
• Rent, lease, sell, sublicense, or otherwise commercially exploit the App or its content.
• Scrape, bulk-download, or harvest the cocktail and ingredient catalog or any other App data.

4. Reserve Club Membership & Subscriptions

Cipher & Spirit offers an optional premium membership ("Reserve Club") through auto-renewing in-app subscriptions, which unlock additional features across the App.

• Subscriptions are sold and billed through the Apple App Store on iOS and through Google Play on Android, and are subject to those stores' applicable terms.
• Payment is charged to your Apple ID or Google account at confirmation of purchase.
• Subscriptions renew automatically for the same period unless you turn off auto-renew at least 24 hours before the end of the current period.
• You can manage, view, or cancel your subscription in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period.

We may change subscription pricing and the features included in Reserve Club. Where required by law, we will give you advance notice. Except where required by law or the platform, payments are non-refundable.

5. Acceptable Use

When using the App, you agree not to:

• Use the App for any unlawful purpose or in violation of these Terms.
• Interfere with, disrupt, or attempt to gain unauthorized access to the App or the services it relies on.
• Introduce malware or any code intended to harm the App or other users.
• Misrepresent your identity or your eligibility to use the App.

6. Responsible Consumption & Health Disclaimer

Cipher & Spirit is a recipe and bar-management tool. It is not medical, dietary, or legal advice. Please drink responsibly.

• Recipes in the App contain alcohol. Never drink and drive, and follow all applicable laws regarding alcohol.
• Allergen information and ingredient details are provided as a convenience and may be incomplete or inaccurate. Always verify ingredients yourself if you have allergies, dietary restrictions, or health conditions.
• Consume alcohol in moderation and at your own risk. If you are pregnant, taking medication, or have health concerns, consult a medical professional.

7. Intellectual Property

The App, including its software, design, text, graphics, the "Cipher & Spirit" name and logo, and the curated cocktail and ingredient catalog, is owned by From Meadows LLC or its licensors and is protected by intellectual-property laws. Except for the limited license granted above, these Terms do not transfer any rights in the App to you.

8. Third-Party Services

The App relies on third-party services, including the Apple App Store, Google Play, and RevenueCat (subscription management). Your use of those services is governed by their respective terms and privacy policies. From Meadows is not responsible for third-party services.

9. Disclaimer of Warranties

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that the catalog content is accurate, complete, or current.

10. Limitation of Liability

To the maximum extent permitted by law, From Meadows LLC and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the App.

To the maximum extent permitted by law, our total liability for any claim relating to the App will not exceed the greater of the amount you paid us for the App in the twelve months before the claim or US $50.

11. Indemnification

You agree to indemnify and hold harmless From Meadows LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the App or your violation of these Terms or any applicable law.

12. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms or if we discontinue the App. You may stop using the App and delete it at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Changes to the App and These Terms

We may update, change, or discontinue features of the App, and we may revise these Terms from time to time. Material changes will be reflected here with a new "Last updated" date. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Venue

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Jefferson County, Kentucky (Louisville) have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App, and you consent to venue there.
